Setting up of an entity<\/h3>\n\n\n\n

Provision of company secretary and nominee director<\/h3>\n\n\n\n

ACRA requires all private limited companies to have at least one local resident director on their board of directors.<\/p>\n\n\n\n

If a foreign based entity and does not have a local director, we can provide you with a nominee director. This nominee director can act as non-executive director on the board of directors. This way, he\/she will not be directly involved in matters including operations, management and finances of the Company. However, he may have the right to examine and review company\u2019s bank statements and financial statements as a part of his\/her duties as a trustee.<\/p>\n\n\n\n

Attendance at meetings and drafting of minutes of meetings<\/h3>\n\n\n\n

Minutes are legal documents that provide a fair synopsis of a company\u2019s meetings. In Singapore, every company, be it a private or public company, is required to keep records of the proceedings of meetings in books (i.e. minute books) within 1 month of the meeting.<\/p>\n\n\n\n

Such meetings could include shareholders\u2019 meetings (e.g., Extraordinary General Meetings (EGMs)) and directors\u2019 meetings. These minutes (of the same type of meetings) are bound together and are recorded by the company secretary.<\/p>\n\n\n\n

Maintenance of company records<\/h3>\n\n\n\n

Companies must maintain a proper set of secretarial files and corporate accounts for governance. The company secretary is expected to maintain and update the company\u2019s statutory registers, including the filing of transfer of shares, the electronic filing with the ACRA, maintenance of minutes book, updating of company accounts and annual reports.<\/p>\n\n\n\n

Provision of registered office<\/h3>\n\n\n\n

It is mandated under Section 142(1) of the Companies Act, Cap. 50 for every company to have a local registered office address in Singapore at the point of incorporation.<\/p>\n\n\n\n
