A Singapore private company doesn’t have to hold an AGM if it (a) sends its financial statements to all members within 5 months of its financial year end, (b) has passed a unanimous resolution to dispense with AGMs, or (c) is a qualifying dormant company.[1] Every other company must hold its AGM within 6 months of year end (4 months if listed).[1][4]

But skipping the AGM does not mean skipping the paperwork. You still sign documents every year, just a different set, and you must still file your annual return with ACRA.[1]

Since the Companies Act amendments that took effect from 2018, many private company owners have heard that “you don’t need an AGM anymore”.
