ACRA says “all directors are responsible under the legislation, whether active or not.”<\/strong>[1]<\/a><\/sup> Every director must act in the company’s best interests with reasonable diligence. They must also make sure the company keeps proper accounting records, prepares financial statements, holds AGMs (unless exempt), files annual returns and keeps its registers up to date.[2]<\/a><\/sup><\/p>\n

A company secretary can prepare and file much of this for you, but the legal responsibility stays with the directors.<\/strong> In April 2026, ACRA announced that the maximum fine for breaching directors’ duties had risen from $5,000 to $20,000.[5]<\/a><\/sup><\/p>\n<\/div>\n\n

Many small-company directors think of the role as a title on the ACRA record. Some agreed to be a director to help a friend or family member. Others leave the paperwork to a secretary and assume that covers it. The law doesn’t see it that way.
