Infrastructure Tokenisation in Southeast Asia

Southeast Asia requires substantial investment in transport, energy, utilities, telecommunications, data centres, AI compute infrastructure, and other essential infrastructure. Tokenisation offers governments and project sponsors an additional way to raise capital by representing legally enforceable investment interests in an infrastructure project through digital tokens.

Vietnam is already exploring this model. Da Nang has announced plans to pilot the tokenisation of approximately US$4 billion in infrastructure projects, including an expressway and metro development, to attract international capital.

Why Infrastructure Tokenisation?

Infrastructure tokenisation can broaden access to global investors, create more flexible investment structures and improve transparency over funding, ownership and distributions.

Tokens may represent equity, debt, project revenue or other economic rights. They can also complement traditional funding sources such as government financing, bank loans, project bonds and public-private partnerships.

The success of any tokenisation project, however, depends on the legal structure connecting the token to the underlying infrastructure asset, project rights and revenue streams.

  • Structuring the project company and token-issuing vehicle;
  • Advising on the legal classification and offering of the tokens;
  • Preparing the relevant investment, token and project documentation;
  • Reviewing platform, custody and smart contract arrangements; and
  • Coordinating with local counsel in the jurisdiction where the infrastructure project is situated.

A Potential Model for Timor-Leste

Infrastructure tokenisation could provide Timor-Leste with an additional channel for attracting foreign capital into suitable infrastructure projects.

A possible structure could involve a Timor-Leste project company holding the relevant concession or project rights, supported by a Singapore issuing or financing vehicle. Tokens issued to eligible investors could represent debt, equity or defined rights to project revenues.

As a Singapore law firm with tokenisation expertise and experience in cross-border transactions, KGP Legal can structure the issuance, advise on the applicable regulations, prepare the necessary investment documents and coordinate with Timor-Leste counsel.

We help ensure that the tokens represent legally enforceable rights in the underlying infrastructure project and its revenue streams, while using Singapore as a credible platform to attract international investors.

Partnering with KGP Legal

Singapore offers a strong regional base for infrastructure tokenisation, supported by its established financial, legal and digital asset ecosystem.

KGP Legal can help project sponsors use this ecosystem to structure credible tokenised investments for international investors, while coordinating with local counsel to ensure compliance with the laws of the country where the infrastructure project is located.
