We were engaged to advise a German machinery parts manufacturer on its corporate structuring and joint venture in Singapore. Our services included conducting legal due diligence on the joint venture partner, covering aspects such as corporate documentation, share capital, and litigation searches. The project involved drafting a comprehensive joint venture agreement, including a term sheet, constitutional amendments, and corporate resolutions. Additionally, we provided ongoing legal support by assisting with negotiations, drafting and reviewing commercial contracts, and conducting due diligence on counterparties involved in the new joint venture company.

Project Details

We advised a European confectionery company on employment matters, providing services across three main stages. In the first stage, we reviewed all relevant correspondence, employment agreements, and the Employee Handbook (if applicable) under Singapore law, offering advice and recommendations. In the second stage, we drafted termination notices in accordance with the employment agreements and the Ministry of Manpower’s guidelines. In the final stage, we provided ongoing advice and responded to all questions related to the employment matters.

Outcome

With our assistance, the client successfully ensured proper handling of its employee terminations in compliance with Singapore law.

Project Details

We were engaged to provide legal support to a global printing equipment supplier in managing its employment matters related to scaling down its Singapore office. Our services included drafting a memorandum detailing the steps and procedures required under Singapore law to reduce operations and handle employee terminations, as well as providing guidance on severance payments and the proper procedures for a retrenchment exercise.

Additionally, we were to advise on notifying the Ministry of Manpower (MOM), reviewing contracts and company handbooks, drafting communication and termination letters, and addressing ancillary issues.
