Frequently Asked Questions (FAQs)

Do I need a corporate secretary for my business in Singapore?

Yes. Under ACRA regulations, every company incorporated in Singapore must appoint at least one qualified corporate secretary within six months.

Can I act as my own company secretary?

If you are the sole director of your company, you cannot serve as the company secretary. A separate qualified person must be appointed.

How do secretarial services help SMEs?

They ensure compliance, reduce administrative workload, and provide cost-effective access to governance expertise.

How do I switch to a new corporate secretary in Singapore?

Switching corporate secretaries in Singapore involves three steps:

  1. Notify your current corporate secretary in writing of your intention to switch.
  2. Collect your company’s Minute Book and all statutory records from them and submit to Lionsworld for a compliance review.
  3. Formally appoint your new corporate secretary on ACRA’s BizFile+ portal. Lionsworld manages the entire ACRA appointment process on your behalf.
What does a corporate secretary do for an SME?

A corporate secretary handles all statutory compliance obligations for your company. Key responsibilities include:

  • Filing annual returns with ACRA
  • Maintaining the register of directors and shareholders
  • Preparing board and shareholder resolutions
  • Organising Annual General Meetings (AGMs)
  • Ensuring the Minute Book is properly maintained
  • Keeping the company compliant with the Singapore Companies Act.

Outsourcing to an ACRA-registered filing agent, such as Lionsworld, reduces compliance risk and frees up management time.

What is an ACRA Registered Filing Agent?

An ACRA Registered Filing Agent is a service provider authorised by Singapore’s Accounting and Corporate Regulatory Authority (ACRA) to file statutory documents and perform corporate transactions on behalf of companies. Only registered filing agents may submit filings to ACRA on a company’s behalf.

Lionsworld International Pte. Ltd. is a fully authorised ACRA-registered filing agent with over 40 years of experience.

What happens if my company files late with ACRA?

The penalties escalate the longer the filing stays overdue:

  • Late penalty: S$300 if filed within 3 months of the deadline, S$600 after that.
  • Court fines: up to S$10,000 per charge if ACRA prosecutes.
  • Director disqualification: directors convicted of 3 or more filing offences within 5 years are disqualified for 5 years.
Does my company secretary need to be registered with ACRA?

Yes. Under the Corporate Service Providers Act 2024, anyone providing corporate secretarial services in or from Singapore must be registered with ACRA as a Corporate Service Provider (CSP). The Act took effect on 9 June 2025, and existing providers had until 9 December 2025 to register.

Unregistered providers face fines of up to S$50,000 or 2 years’ jail. Lionsworld Incorporation Pte. Ltd. is an ACRA-registered CSP.
