The target company has become a wholly owned subsidiary following the completion of the deal on 1 July.

iWOW Technology has completed its acquisition of 100% of the issued shares and option shares in The Gentle Group, making the company its wholly owned subsidiary.

The transaction included about $5.61m in cash for institutional vendors and an aggregate consideration of approximately $4.85m for founder Dr Shen Yiru.

The founder’s consideration comprised $1m in initial cash, $1m in deferred cash and 8,924,865 new iWOW shares valued at about $2.85m.

The consideration shares were issued at $0.319 each, increasing iWOW’s total issued and paid-up shares from 278.1 million to 287.1 million.

The new shares are expected to be listed and quoted on the SGX Catalist board from 9 am on or around 7 July 2026.

A NOTE FROM SINGAPORE BUSINESS REVIEW

Reaching the people who run Asia's businesses is harder than it used to be.

Inboxes are crowded. Attention is short. The executives you most want to reach — the founders, CFOs, and operators who actually move budgets — are the hardest to find through the usual channels. If you're building a company, a category, or a reputation, you already know this.

We've spent twenty years building the room they read. Singapore Business Review is where senior decision makers in Singapore and across Southeast Asia come for business coverage they can't get elsewhere — in print, online, and in person at the summits and roundtables we host across seven markets.

If you have something these readers should know about — a point of view worth publishing, a product worth their attention, an event worth their time — we'd like to hear what you're trying to do.
