FULL SERVICE

Whilst we represent clients in complex corporate disputes, we understand that the struggles of a corporation or business owners do not simply end with the conclusion of a commercial dispute. The regulatory landscape that business owners and boards have to navigate has become increasingly demanding and complex.

The mere running of the day-to-day affairs and operations of a company have become minefields of potential personal exposure and liability for directors.

This includes potential criminal liability. Leaving aside a myriad of other legislations, a director can be sentenced to imprisonment on account of a failure to exercise reasonable diligence under section 157(1) of the Companies Act (Cap. 50).

Very often, boards / directors facing regulatory inquisitions, face concurrent civil claims and criminal liability exposure.

We endeavour therefore to provide our clients with legal representation that has continuity, is comprehensive in its coverage and curated to address the particular needs of every client.

WHY US

Our lawyers have a strong grasp of the Companies Act, Securities and Futures Act and other statutes regulating the conduct and duties of corporations and their directors and officers, which strategically positions ML Chambers to represent corporations, directors, and shareholders exposed to regulatory breaches, prosecution or enforcement action from various governmental authorities such as the Attorney-General’s Chambers, Accounting & Corporate Regulatory Authority (“ACRA”), Inland Revenue Authority of Singapore (“IRAS”), SGX RegCo, Monetary Authority of Singapore (“MAS”), etc.

We also act as independent counsel in internal corporate inquiries / investigations and corporate governance reviews.

Many of such matters involve both civil and criminal (or quasi-criminal) personal exposure for our clients. Our subject matter expertise in complex boardroom, shareholder, and joint venture disputes along with our lawyers’ experience advocating in both the civil and criminal courts, makes our team well-positioned to provide our clients with a comprehensive full suite representation.
