OUE subsidiary to buy Browny’s OUEH stake for $20.71m

It will purchase a 19.32% stake for a consideration of $20.714m.

OUE Limited's wholly-owned subsidiary Treasure International Holdings Pte. Ltd. entered into a share purchase agreement with Browny Healthcare Pte. Ltd. (BHPL) to purchase 19.32% of the total share capital of OUE Healthcare Limited (OUEH) for a consideration of $20.714m.

The share consists of 858,412,248 ordinary shares, and the price is equivalent to $0.024 per sale share, according to a bourse filing.

Once the purchase is completed, BHPL will no longer hold any shares in OUEH, and OUE will hold 3,984,729,000 shares in OUEH or 89.68% of OUEH's total issued share capital, it added.

The sale and purchase agreement will close on 24 December 2025, or another date that may be agreed between the parties in writing.

The transaction will enable OUE to increase its shareholding in OUEH and is in line with the group's commitment to the longer-term prospects of OUEH's healthcare business.

A NOTE FROM SINGAPORE BUSINESS REVIEW

Reaching the people who run Asia's businesses is harder than it used to be.

Inboxes are crowded. Attention is short. The executives you most want to reach — the founders, CFOs, and operators who actually move budgets — are the hardest to find through the usual channels. If you're building a company, a category, or a reputation, you already know this.

We've spent twenty years building the room they read. Singapore Business Review is where senior decision makers in Singapore and across Southeast Asia come for business coverage they can't get elsewhere — in print, online, and in person at the summits and roundtables we host across seven markets.

If you have something these readers should know about — a point of view worth publishing, a product worth their attention, an event worth their time — we'd like to hear what you're trying to do.
