LEO Sign: Terms of Use

A. About These LEO Sign Terms of Use
- These LEO Sign terms of use (“these Terms”) govern your use of LEO Sign, the digital document signing service available at law.com.sg/sign (“the Service”). The Service is operated by Loh Eben Ong LLP (UEN T14LL2317F), a Singapore law practice of 135 Middle Road, #05-11 Bylands Building, Singapore 188975 (“LEO”, “we”, “us” or “our”).
- By ticking the acceptance checkbox on the signing page and using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
B. The Service
- The Service allows you to upload a PDF document and digitally sign it using your Singpass app. The digital signing itself is performed by Sign with Singpass, a service of the Singapore Government operated by the Government Technology Agency. We facilitate the signing process; we do not create or control your Singpass credentials or the Singpass signing infrastructure.
- The Service is provided free of charge. We are under no obligation to provide the Service and may modify, suspend or withdraw it, in whole or in part, at any time without notice.
- To use the Service, you must hold a valid Singpass account and have the Singpass app installed on your mobile device.
C. No Legal Advice and No Solicitor-Client Relationship
- Your use of the Service does not create a solicitor-client relationship between you and LEO, and nothing on the signing page or in these Terms constitutes legal advice. The fact that a document can be signed through the Service is not confirmation that the document is valid, enforceable, suitable for your purpose, or properly drafted. If you require advice on your document or your matter, please contact us to engage the firm on our usual terms of engagement.
D. Signing Is Not Notarisation
- The Service is a document-signing facility only. Signing a document through the Service does not amount to notarisation, certification, attestation or witnessing by LEO or by any Notary Public, and does not mean that we have reviewed, approved or accepted the document for any purpose.
- If your document requires notarisation or any other formality, you must still attend before a Notary Public in person, and the usual notarial procedures and fees will apply. Signing through the Service does not replace or shorten those requirements.
- We are under no obligation to act on, accept or take any step in relation to a document merely because it has been signed through the Service.
E. Your Responsibilities
- By uploading a document, you confirm that:
10.1 you are entitled to sign the document, and where you sign on behalf of another person or an entity, you are duly authorised to do so;
10.2 the document and its contents are lawful and do not infringe the rights of any person;
10.3 you have checked that the document is the correct, complete and final version before signing, and that every page you intend to sign is included; and 10.4 the document is suitable for electronic signing for your intended purpose. - Certain documents are excluded from electronic signing under the First Schedule to the Electronic Transactions Act 2010, including wills, negotiable instruments, indentures, declarations of trust, powers of attorney, and contracts for the sale or disposition of immovable property. You must not sign such documents through the Service, and any signature applied to such a document through the Service may have no legal effect.
- You must provide accurate contact details (name, email address and mobile number) that belong to you when using the Service. We may use these details to contact you about your signing.
- You must not upload or sign any content that is unlawful, defamatory, infringing, obscene or malicious (including any file containing malware), impersonate any person, or interfere with the operation or security of the Service. You are solely responsible for the document you upload and for what you sign; we do not review documents submitted through the Service.
F. Our Right to Refuse or Cancel
- We may refuse, suspend, cancel or void any signing request, or delete any upload, at any time and without giving reasons, including where we suspect misuse of the Service, unlawful content, or a breach of these Terms. Where a request is voided or expires, any signing links issued for it will cease to work; documents already signed before that point are unaffected.
G. Documents and Retention
- All documents, whether signed or unsigned, are deleted from our systems 14 days after upload. Please download your signed document promptly. We cannot retrieve any document after it has been deleted.
- As part of the signing process, your document is transmitted to the Sign with Singpass service for the application of your digital signature.
H. Personal Data
- Our collection, use and disclosure of your personal data in connection with the Service are set out in the consent statement on the signing page and in our Privacy Policy on this website. By using the Service, you consent to the collection, use and disclosure of your personal data as so described.
I. No Warranty
- The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we make no warranty or representation that the Service will be uninterrupted, error-free or secure, that any document signed through the Service will be valid, enforceable or effective for your intended purpose, or that the Sign with Singpass service will be available at any particular time. Singpass and Sign with Singpass are outside our control, and we are not responsible for any unavailability, delay, error or failure of those services or for the issue, content or validity of any digital signing certificate.
J. Limitation of Liability
- To the fullest extent permitted by law, LEO shall not be liable for any indirect or consequential loss, or for any loss of profit, revenue, business, opportunity, data or documents, arising out of or in connection with the Service, whether in contract, tort (including negligence) or otherwise, even if we have been advised of the possibility of such loss.
- To the fullest extent permitted by law, the aggregate liability of LEO arising out of or in connection with the Service shall not exceed one hundred Singapore dollars (S$100).
- Nothing in these Terms excludes or limits any liability which cannot be excluded or limited under the laws of Singapore, including liability for fraud or for death or personal injury caused by negligence.
K. Indemnity
- You shall indemnify and hold harmless LEO, its partners, consultants, employees and agents from and against all claims, demands, actions, liabilities, losses, damages, costs and expenses (including legal costs on a full indemnity basis) arising out of or in connection with:
22.1 your breach of these Terms;
22.2 any document you upload through the Service, including its contents and your entitlement or authority to sign it;
22.3 your use or misuse of the Service; or
22.4 any infringement by you of the rights of any third party.
L. Intellectual Property
- All content on the signing page and this website, other than documents you upload, belongs to LEO or its licensors. You may not copy, reproduce or use such content except as necessary to use the Service.
M. Changes to These LEO Sign Terms of Use
- We may amend these Terms from time to time. The version published on this page at the time of your use applies to that use.
N. General
- A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of these Terms. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions continue in full force.
- These Terms are governed by the laws of Singapore, and you submit to the exclusive jurisdiction of the Singapore courts in respect of any dispute arising out of or in connection with the Service or these Terms.
