Singapore Agreement and Contract Quote
Use this agreement and contract quote form to obtain our typical rates for drafting, reviewing and negotiating a Singapore commercial agreement. Moreover, we charge on an hourly rate basis, so the estimate reflects the length and the complexity of your document.
In addition, if the other side has already sent you a draft, our review and vetting service is usually quicker and cheaper than fresh drafting.
What this agreement and contract quote covers
We draft, review and negotiate the commercial agreements that Singapore businesses use every day. Therefore, the form above asks for the type of agreement and the nature of the work, because both drive the fee.
- Tenancy agreement for residential, retail, office or industrial premises
- Shareholders agreement and share purchase agreement for private companies
- Joint venture agreement between corporate or individual partners
- Deed of assignment and novation agreement, where rights or obligations pass to a new party
- Service agreements, supply contracts, loan agreements, settlement agreements and other commercial documents
How we price an agreement and contract quote
Our charge is on an hourly rate basis, and the estimate depends on four things.
- The type of agreement. A short tenancy agreement takes far less time than a shareholders agreement.
- The nature of the work. Fresh drafting takes longer than reviewing a draft that the other side has prepared.
- The number of rounds. Negotiation adds time, because each round involves fresh instructions and revisions.
- The urgency. Consequently, a same-day turnaround may attract a higher rate.
Furthermore, every agreement and contract quote is an estimate. It also remains subject to contract, to our confirmation of engagement and to our client due diligence.
Drafting compared with review and vetting
Fresh drafting means that we prepare the document from your instructions. Review and vetting means that we mark up a draft, explain the risks and propose changes. Therefore, if you have received a draft from the other side, please select review and vetting in the form above.
How the agreement and contract quote process works
First, tell us the type of agreement and the nature of the work. Second, we reply by email with our estimate and with the information we still need. Third, once you confirm, we complete our client due diligence and begin work. Finally, we deliver the draft or the mark-up, and we revise it until you are satisfied with the commercial position.
Agreement and contract quote: frequently asked questions
Do you charge a fixed fee or an hourly rate?
Our typical charge is on an hourly rate basis. However, for a straightforward document such as a short tenancy agreement, we can often agree a fixed fee once we see the scope.
Is an agreement and contract quote binding?
No. The estimate is subject to contract and to change, because the scope may widen once we read the papers.
Does a Singapore contract need to be stamped?
Some documents attract stamp duty, and a tenancy agreement is the common example. In addition, IRAS sets the rates and the deadlines, so please check the IRAS stamp duty pages.
Can you act for the other side as well?
No. We act for one party only, because acting for both parties would create a conflict of interest.
Do you review contracts governed by foreign law?
We advise on Singapore law. Nevertheless, we can review the commercial terms of a foreign-law contract, and we can work alongside overseas counsel.
